The Developer is the sole developer and owner of this project and is exclusively responsible for its investment, development, construction, operation, marketing, and sales. The hotel will be managed on behalf of the Developer by an independent management company engaged by the Developer and which has no affiliation or association with The Sol Group, Corp or its group companies (“TSGC”). Purchasing a branded residence does not create any relationship with TSGC. TSGC is not a party to any agreements entered into with purchasers of the branded residences and does not have any direct or indirect relationship with such purchasers. TSGC acts solely as the franchisor and therefore is not the developer, seller, operator or offeror of any branded residences and make no representation or warranty regarding the same.

The branded residences will be operated by the Franchisee under the brand “Meliá”. The Developer uses the “Melia” brand and trademarks pursuant to a limited, non-exclusive, non-transferable license granted by TSGC to the Developer under a franchise agreement. That franchise agreement and the respective license may be terminated or may expire without renewal, in which case the branded residences will no longer be associated with the “Melia” brand.

TSGC does not assume any responsibility for the accuracy or completeness of any information, statements, representations, or warranties made by the Developer or any of its agents, employees, or representatives. Any projections or estimates of potential economic or financial performance are illustrative only. TSGC does not guarantee and makes no representations or warranties regarding any financial returns, income, rental programs, economic performance, or investment outcomes related to the branded residences. Actual performance may differ materially depending on market conditions and other factors beyond the control of the Developer, the management company and TSGC. Prospective purchasers should rely solely on their own investigation and the information provided directly by the Developer and its legal disclosure documentation, including the documents required under Florida law.

This project is registered with the U.S. Green Building Council (USGBC) and is in the process of obtaining LEED Silver certification. The use of the LEED Silver logo in this document is based on the anticipated certification status. Final certification is subject to review and approval by the USGBC and may vary depending on the final assessment of the project’s performance in accordance with LEED standards.
